Conflict of Interest Policy Statement
DEFINITIONS:
BENEFITS: The term Benefits includes, but is not limited to, any financial remuneration, gift, entertainment, service, loan, or promise of future benefits to or for any Included Person from any other person or entity who will or may benefit or appear to benefit from such Included Person’s relationship with the Council.
BOARD: The term Board refers to the Board of Directors of the Hill Country Community Needs Council.
COUNCIL: The term Council refers to the Hill Country Community Needs Council.
CONFLICT OF INTEREST: For purposes of this Policy, Conflict of Interest is defined as any relationship, transaction or situation by, through or in which any Included Person: (a) Engages in any illegal or unethical practice affecting the Council in any manner whatsoever, (b) Takes advantage in any business dealings which would not otherwise be available but for his/her relationship with the Council, (c) Participates in any activity which might reasonably be expected to affect his/her judgment in a manner adverse to that of the Council, and (d) Engages in any activity which may give the appearance of impropriety insofar as such activity affects the Council in any manner whatsoever.
INCLUDED PERSON: For purposes of this Policy, Included Person shall mean any full, part-time, salaried or hourly employee of the Council, any member of its Board, any advisor or consultant (whether for pay or not), and any Council volunteer.
POLICY:
No Included Person shall accept any benefit, unless there has been a prior full and good faith disclosure to the Board of the offer of such benefit, and Board authorization is given.
No Included Person shall perform, for pay or other personal gain, any services, as an employee, consultant, or other capacity, for any supplier of goods or services to the Council, unless there has been a prior full and good faith disclosure to the Board of such proposed services, and Board authorization is given.
No Included Person shall have or own any beneficial interest in, or substantial obligation from, any supplier of goods or services to the Council, unless there has been a prior full and good faith disclosure to the Board of such ownership, beneficial interest or obligation, and Board authorization is given.
No Included Person shall allow any member of his/her immediate family to exploit his/her relationship with the Council in a manner that would otherwise be a Conflict of Interest.
No Included Person shall own or have a beneficial interest in any of the property or other assets of the Council.
No Included Person shall use the Council’s premises or equipment for private business.
Any Included Person who is aware of or has knowledge of any real or potential conflict of interest with respect to any matter whatsoever is under a continuing obligation to reveal such knowledge to the President or other officer of the Council.
The interpretation and construction of the terms of this Policy Statement shall be within the sole discretion and judgment of the Board, whose decisions will be final in all matters.
PROCEDURE FOR IMPLEMENTATION OF THIS POLICY:
(1) Duplicates of this Policy Statement will be furnished to all current and future Included Persons, EXCEPT VOLUNTEERS. Each such Included Person will read, sign and return one duplicate to the Administrator.
(2) All VOLUNTEERS applying to the Council after the adoption of this Policy Statement will sign a statement, which will appear on the Volunteer Application Form, that they have been furnished a copy of this Policy Statement, have read it, and agree to its terms and conditions.
(3) The Administrator will post a copy of this Policy Statement in a prominent location in the premises of the Council.
SANCTIONS FOR NONCOMPLIANCE:
In the event any Included Person violates or otherwise contravenes the terms of this Policy, the Board shall take such action as is, in its sole judgment, under the circumstances, appropriate and authorized by law.
This Conflict of Interests Policy Statement was adopted by the Board of Directors on this the 26th day of February, 2003.
